By creating an account, clicking "I Agree," or accessing or using any part of our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.
Eligibility & Account Responsibilities
- Eligibility: You must be at least 18 years old and possess the legal authority to enter into a binding agreement. If you use the Services on behalf of a business, real estate brokerage, or corporate entity, you represent that you have authority to bind that entity to these Terms.
- Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach.
- Licensing Compliance: Users utilizing our software for real estate transactions, loss mitigation tracking, or document automation are solely responsible for maintaining all required state and federal professional licenses (e.g., Real Estate Agent, Broker, Mortgage Loan Originator, or Transaction Coordinator).
Service Scope & Important Disclaimers
Please read this section carefully.
- Software Utility Only: The Collective Software Group LLC and its software platforms (including Short Sale Genie™) provide workflow tracking, document formatting, and administrative software utilities. We are not a law firm, accounting firm, mortgage lender, debt negotiation firm, or licensed real estate brokerage.
- No Legal, Financial, or Tax Advice: Information, templates, and automated outputs generated by our Services do not constitute legal, tax, or financial advice. Users should consult qualified legal or financial professionals for specific transaction advice.
- No Guarantee of Lender Approval: Our software assists in organizing and formatting transaction packages for mortgage lenders and loan servicers. Use of our software does not guarantee that any third-party lender, servicer, or investor will approve a short sale, grant debt forgiveness, waive deficiency judgments, or modify loan terms.
- Third-Party Portals & Servicers: We are independent of third-party lender portals (e.g., Equator, RES.NET) and mortgage servicers. We do not control lender decision timelines, requirements, or portal availability.
Acceptable Use & Automated System Safeguards
You agree to use our Services strictly for lawful purposes and in accordance with these Terms.
Prohibited Conduct — You shall not:
- Upload malware, viruses, executable files (.exe, .sh, .bat), or harmful code.
- Attempt to scrape, crawl, reverse-engineer, decompile, or extract source code from our platforms.
- Access or attempt to access another user's data or bypass Row-Level Security (RLS) protections.
- Upload fraudulent, altered, or deceptive financial documents, tax returns, or bank statements.
- Use automated bots or scripts to flood our servers or trigger excessive API calls.
- Share individual user accounts across multiple un-licensed users outside your subscription tier allowance.
Account Suspension & Termination Authority
Termination Rights: We reserve the right, in our sole discretion, to suspend, disable, or terminate your access to the Services immediately, with or without notice, for:
- Violation of these Terms or applicable privacy laws.
- Non-payment or failed subscription renewals.
- Chargebacks, payment disputes, or fraudulent billing activity.
- Detecting automated scraping, bulk upload anomalies, or behavior that threatens platform security or other users.
Survival of Terms: Upon termination, all provisions of these Terms that by their nature should survive will remain in effect, including Ownership & Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.
Subscriptions, Payments, & Cancellations
- Billing Tiers: Certain Services are billed on a recurring subscription basis (monthly or annually). By selecting a subscription plan, you authorize us to charge your payment method via our secure processor (Stripe).
- Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless canceled prior to the renewal date via your account settings page.
- Refund Policy: Unless explicitly required by law or stated in writing, all subscription fees are non-refundable.
Intellectual Property Rights
- Ownership: All rights, title, and interest in and to the Services—including software code, UX/UI designs, dynamic document rendering logic, logos, graphics, and trademarks (including The Collective Software Group LLC and Short Sale Genie™)—are the exclusive property of The Collective Software Group LLC.
- User Content Ownership: You retain ownership of all original documents, transaction details, and graphics (e.g., white-label logos) uploaded to the Services. You grant us a limited, worldwide, non-exclusive license to host, store, and process your content strictly for providing the Services to you.
Administrative Support & User Impersonation
To provide technical assistance, troubleshoot account issues, or perform system updates, authorized administrative personnel of The Collective Software Group LLC may utilize secure "User Impersonation" or "View As" session modes. All administrative actions are recorded in secure audit logs.
Limitation of Liability
To the maximum extent permitted by law, in no event shall The Collective Software Group LLC, its officers, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of or in connection with your use of or inability to use the Services—even if advised of the possibility of such damages.
Our maximum aggregate liability for any claims arising from these Terms or the Services shall not exceed the total amount paid by you to us in the three (3) months immediately preceding the event giving rise to the claim.
Indemnification
You agree to defend, indemnify, and hold harmless The Collective Software Group LLC and its officers, directors, employees, and agents from and against any third-party claims, damages, losses, liabilities, costs, or expenses (including reasonable attorney fees) arising from:
- Your violation of these Terms or applicable local, state, or federal laws.
- Documents, data, or financial statements submitted through your account.
- Any transaction disputes between you, property owners, buyers, real estate brokerages, or mortgage lenders.
Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State where The Collective Software Group LLC is registered, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in state or federal courts located in the primary jurisdiction of The Collective Software Group LLC.
